Distributorship Policy
As a New Independent Distributor of ALPHANETWORLD CORPORATION or NWORLD, I understand and agree to the following: THAT
1. I am of legal age upon entering into this Distributorship Agreement, otherwise, I will submit a parental consent waiver together with my application;
2. This Distributorship Agreement is personal in nature and is non-transferrable nor assignable except in the event of my death, where law on intestate succession applies, however, subject to existing Company's policy on qualification as Independent Distributor;

4. I attest that I personally participated and was personally presented with the NWORLD Business Presentation and Product Orientation prior to selling the NWORLD products;
5. As an NWORLD Independent Distributor, I can now engage in the direct selling of its products. Further, it is hereby understood that there is no required minimum product purchase that I need to make and no required minimum inventory that I need to maintain in order to sustain my status as an Independent Distributor.
6. I shall be eligible to sales bonuses, discounts, and privileges that may be granted by the company relative to my sales performance or successful delivery of products. Relevant to my sales activity, I further understand that sales bonuses, rebates and/or commissions are in accordance with the compensation scheme established in the NWORLD Marketing Plan, provided, that I have achieved such sales performance in good faith, and that I have not violated any of the provisions of the Distributorship Policy, Code of Ethics, and Company Policies;
7. This Distributorship Agreement limits a no employee - employer relationship between me and NWORLD; neither that I may claim to be a legal representative of NWORLD, nor bind NWORLD in any agreements other than those stipulated herein;
8. I understand that I should secure an express written approval from the Management of NWORLD or any of its authorized representative prior to making any form of advertisement in mainstream media, social networking sites, internet, and online media, including, but not limited to audio, visual and printed materials, other than the Company's existing advertisement and marketing materials and postings on its official website and social media pages;
9. I understand that I should secure an express written approval from the Executive Committee of ALPHANETWORLD or any of its authorized representative prior to making any form of advertisement ( e.g. social networking sites, internet, online media), including, but not limited to audio, visual and printed materials, other than the Company's existing marketing collaterals and postings on its official website;
10. I am aware that making any misrepresentations, revisions, modifications, or alterations of the Company's trademark, brand, logos, marks, marketing plan, products, advertisement, marketing materials, and other company provided marketing tools, is strictly prohibited. Otherwise, it shall be deemed violation of the Company's rules, regulations and policies;
11. As a general rule, should my spouse join NWORLD as an Independent Distributor, he/she shall automatically be under my sales team. Otherwise, this shall constitute violation of the Cross-lining provision as defined on the Code of Conduct and Ethical Standard;
12. I affirm to exclusively join the sponsor I personally indicated in this Application Form or adhere to the "six month rule" in the event I have decided to sign-up to another sponsor line

13. I shall diligently settle to the designated government agency/local government unit all due taxes from the taxable sales bonuses I have earned from NWORLD.
14. I am fully aware that the NWORLD reserves the right to modify, revise, and update its existing policies and business plan for the best interest of the company and its Distributors with 30 days prior notice;
15. I conform to conduct all my sales activities in accordance with the existing laws of the Republic of the Philippines and release NWORLD from any liability arising from my own personal actions;
I hereby certify that the above information are true and correct to the best of my knowledge. In case of violation of any of the terms and conditions herein stipulated, I hereby agree and authorize NWORLD to revoke, deactivate, and/or suspend my privileges as Independent Distributor without prejudice to any charges, criminal and/or civil, that NWORLD may charge against me, without limitation to any false information I have provided herein.
I fully understand and further confirm this authority that I am conferring ALPHANETWORLD to do so is with my own free will and volition, without any force, intimidation or undue influence employed upon me.

This Code of Conduct and Ethical Standards (Code) establishes the canons and the principles that govern the way ALPHANETWORLD CORPORATION, also known and operating under the trade name "NWORLD", also referred to herein as the "Company", deal with its Independent Distributors, otherwise known as "Ntrepreneurs"..

R I G H T E O U S
While the realization of our business objectives is important to our success, our principle of "Do whatever right it takes" outweighs the dictum "The end justifies the means".
The NWORLD, its employees, officers, directors, and the Ntrepreneurs are therefore expected and required to asses every business decision and every action in behalf of the Company, the Government, our customers, shareholders, competitors, and the public at large in the light of whatever is RIGHTEOUS.
This Code shall be known as the "Code of Conduct and Ethical Standards for Ntrepreneurs of NWORLD".
The provisions of this Code, insofar as the circumstances are specifically addressed herein, shall apply to the business relationship of NWORLD with Ntrepreneurs and how the Ntrepreneurs conduct business, whether with a 3rd Party, Retailer, Prospect, Co-distributor, or with NWORLD. For those situations that are not covered or critical to the interest of NWORLD and its Ntrepreneurs, a prior consent shall be secured otherwise NWORLD and the Ntrepreneurs are expected to apply R I G H T E O U S values, and consider whatever is right, legal, and fair.
The officers and staff of NWORLD, specifically its Ethics Committee, will always be ready to assist the Ntrepreneurs in the application of this Code.
Rights And Privileges
A person who availed or bought a Retailer's Kit worth PHP 500.00 shall become a Retailer, and shall enjoy the following privileges:
1. Ten percent (10%) discount for retail purchases and package purchases;
2. Get PHP 500.00 worth of in-house products; and
3. 1 year free accident insurance coverage for PHP 100,000.00, renewable every year.
A Retailer who subsequently bought a Platinum Package or other Package(s) of NWORLD that doe not require a retailer's kit or accumulates One Thousand Fifty (1,050) product points shall become an Ntrepreneur and shall be entitled to enjoy all the privileges that makes available, to wit:
1. Thirty-five percent (35%) discount for retail purchases;
2. Thirty-five percent (35%) discount for product package purchases;
3. Use of online facilities of NWORLD through an assigned an NWORLD Tracking Center (NTC) Number;
4. Sponsor customers to become an Ntrepreneur;
5. Earn sales bonuses based on performance;
6. Become entitled to recognition, awards and incentives.
Duties And Responsibilities Of Ntrepereneurs
Commission by an Ntrepreneur of any of the following act is considered a Serious Misconduct, a violation of this Code, and the offender shall be subjected to appropriate penalties:
a. Knowingly use an Activation Code, "Scratch Card", and/or NWORLD Tracking Center (NTC) that is fake, spurious, or not issued in the regular course of business whether or not such use caused or resulted in any damage to another Ntrepreneur and/or to NWORLD;
b. Create, or attempt to create, disharmony, bitterness, or resentment among Ntrepreneurs and/or the public at large by voicing out his/her concern(s), spreading rumors and/or unfounded allegations against NWORLD and/or any of its Officers, employees, or members of the Board of Directors in order to gain sympathy and/or cause disharmony, whether or not such actions produced the intended result.
c. Theft of any property or assets of NWORLD, whether tangible or intangible.
d. Any other form of misconduct that poses or may pose a serious detriment to NWORLD, its Directors, shareholders, officers, employees, and fellow Ntrepreneurs.
Any and all acts that is gross, flagrant, systematic, or severe violations of the core policies of NWORLD, or a deliberate act intended to violate those policies that should be treated with respect, is considered a Gross Misconduct, such as, but not limited to, the following:
a. Engaging with any person or entity engaged in a similar industry as, or a competitor of NWORLD for the purpose of employment, representation, association, sponsorship;
b. Recruitment of or inducing an Ntrepreneur to sell, promote, sponsor, and/or introduce, the products, services, business, marketing Plans or strategy of a competitor of NWORLD;
c. Joining, associating with, registering, subscribing, promoting, representing, or any other form of affiliation and membership to any entity, group, or company, duly declared by any Government agency, bureau, judicial or quasi-judicial bodies, or other government institutions and instrumentalities, including the declaration of the government of any country that such entity, group, or company as illegal or a scam. Ntrepreneurs shall not recruit, convince, offer, assist, sponsor, or any similar act thereto, other Ntrepreneurs or any other person to join, subscribe, associate with, or register membership to said illegal, scam or unregistered companies;
d. Selling or offering for sale, promoting and/or inviting to join, participate or become interested in a corporation, a commercial enterprise or profit-making venture, whether or not evidenced by a certificate, contract, or instrument, written or electronic in character, including, but not limited to:
i.) Investment contracts, certificates of interest or participation in a profit sharing agreement, certificates of deposit for a future subscription;
ii.) Shares of stocks, bonds, debentures, notes, and evidences of indebtedness;
iii.) Certificates of participation, trust certificates, voting trust certificates or similar instruments; or
iv.) Pre-need plans.
without a registration certificate issued by the proper Government Agency or not being registered with the proper Government regulatory office.
Grievance Procedure
Except as otherwise provided under this Code, the Ethics Committee, headed by its Chairman, President and CEO shall have the exclusive jurisdiction to handle issues, concerns and complaints for violation of any of the provisions in this Code and in the Distributorship Policy.
Proceedings for the violation of any of the provisions of this Code of Conduct and Ethical Standards may be initiated by the Ethics Committee of NWORLD motu proprio or upon the complaint of an Ntrepreneur
The complaint by an Ntrepreneur against a fellow Ntrepreneur must be signed by the Complainant, written in a clear, simple and concise language , and shall contain the following:
1. Full name and address of the Ntrepreneur Complainant, including a list of all of his/her available contact details;
2. Full name of the Ntrepreneur complained of, including a list of all of his/her available contact details, if known;
3. A narration of the relevant and material facts which show the acts or omissions allegedly committed; and
4. Copies of documentary evidence, if any
In cases initiated by the Ethics Committee of NWORLD, a show cause order is sufficient.
A complaint for the violation of any of the provisions of this Code may be filed at any time with the Ethics Committee of NWORLD.
Should the Ethics Committee of NWORLD determine probable cause to charge the Ntrepreneur complained of for violation of any of the provisions of this Code, it shall issue a Notice of Charge/s against him/her including a narration/description of his/her violation(s), and a directive to answer the charge(s), or submit an explanation, within Five (5) days from receipt of the same.
The Answer/Explanation should be in writing, specific, and contain material facts in support of the defense of the Ntrepreneur complained of, including documentary evidence, statements covering testimonies of witnesses, if there be any.
If the Ntrepreneur complained of fails or refuses to file his/her answer/explanation within the period provided in the Notice of Charge/s, he/she shall be considered to have waived his/her right to submit the same and the case may be decided based on the available records.
The Ntrepreneur complained of, upon the petition of the Ntrepreneur Complainant, or the Ethics Committee, motu proprio, may be placed under Preventive Suspension by the Ethics Committee pending investigation for the following violations:
a. Under-Pricing;
b. Multiple offenses;
c. Gross Violations; and
d. Any violation that is detrimental to NWORLD as determined by the Ethics Committee.
The following are the effects of the issuance of a Preventive Suspension upon the Ntrepreneur complained of:
a. All the privileges granted to an Ntrepreneur shall be blocked/suspended until the final resolution of his/her case;
b. The NTC shall not be accessible to the said Ntrepreneur until the final resolution of the case or until determination by the Ethics Committee that Preventive Suspension Is not necessary;
c. If the Ntrepreneur is declared innocent of the violations he/she was charged with, all the suspended privileges and benefits shall be restored and shall retroact from the date of the Suspension Order;
d. If the Ntrepreneur is proven and declared guilty of the charges against him/her, the period of preventive suspension shall be deducted from the penalty of suspension imposed by the Ethics Committee.
At any time after an Answer/Explanation is filed, the Ethics Committee, in its discretion, may call the parties to a Mediation for them to arrive at conciliation or "the freedom of the parties to make their own arrangements to resolve conflicts/disputes to arrive at a settlement", which settlement must be approved by the Ethics Committee.
In the event Mediation between the parties fails, the Ethics Committee shall decide the case based on its merits.
The Ethics Committee shall decide the case within Forty-five (45) Days from receipt of the Answer/Explanation of the Ntrepreneur complained of, or after the lapse of the period to file an Answer/Explanation without an Answer/Explanation being filed.
All Decisions rendered by the Ethics Committee shall be final and immediately executory.
Schedule Of Penalties
Offenses with corresponding penalties are classified as Minor Offenses, Major Offenses, Serious Offenses, and Gross Offenses.
Minor Offenses are violations of provisions enumerated under the Basic Duties and Responsibilities of an Ntrepreneur under Article 5 of this Code.
Major Offenses are violations that maybe considered detrimental to NWORLD and which pose imminent and serious threats to the reputation and operations of NWORLD, including, but not limited to, violations committed against the provisions of Article 6, Main Duties and Responsibilities of an Ntrepreneur.
Serious Misconduct are acts or actions that pose or may pose a grave and severe detriment to NWORLD, its Directors, Stockholders, Officers, Employees, ad/or fellow Ntrepreneurs, including, but not limited to, violations of Article 7 of this Code.
Gross Violations are acts or actions of Ntrepreneurs with deliberate intent to violate the core policies of NWORLD, such as the commission of any of the acts enumerated in Article 8 of this Code.
shall be punishable by a written reprimand, for the first violation, or a written warning wherein the Ntrepreneur is warned of his/her violation or misconduct and directed to correct his/her misconduct within a period of Five (5) days from notice. Failure to correct his/her misconduct within the said period shall mean a Suspension of his Rights and Privileges until the Ntrepreneur corrects his/her misconduct.
A Second Violation of Minor Offense shall merit a suspension of the Rights and Privileges of an Ntrepreneur for at least Two (2) Weeks but not more than One (1) Month of the Independent Distributors' NTC and activities. All bonuses, privileges and other remunerations, monetary or in kind earned during the period of suspension are forfeited effective immediately. The NTC account of the erring Ntrepreneur shall be put on hold until acknowledgment of the Notice to Explain was received by the Ethics Committee.
shall be punishable by suspension of the Ntrepreneur's NTC and activities for at least One (1) Month but not more than Six (6) Months for the first violation. All bonuses, privileges and other remunerations, monetary or in kind, during the period of suspension shall be forfeited.
Second Violation of a Major Offense shall be punishable by termination of NTC including forfeiture of income, bonus, privileges and other remunerations, monetary or in kind, effective immediately, and will be put on a blacklist wherein he/she cannot join and register to NWORLD as an Ntrepreneur for a period of two (2) years from the date of termination.
Ntrepreneurs who have been proven guilty of violating the policies against under-pricing shall be sanctioned to a minimum penalty of three (3) months to a maximum of six (6) months suspension and forfeiture of all income, bonus, privileges, and other remunerations, monetary or in kind earned during the period of suspension.
Ntrepreneurs proven guilty of violating a Serious Misconduct shall be punished by the suspension of all of his/her rights and privileges as an Ntrepreneur for a minimum period of Three (3) Months to a maximum period of Six (6) Months, and forfeiture of all income, bonus, privileges, and other remunerations, monetary or in kind, earned during the period of suspension.
Ntrepreneurs found guilty of commission of a Gross Violation shall be punished with the revocation of the privileges of an Ntrepreneur enumerated in Article 4, except the privilege to purchase NWORLD Products at discounted prices. The termination shall also carry with it forfeiture of income, bonus, privileges, and other remunerations from the time of his/her preventive suspension until he/she is reinstated as an Ntrepreneur. The offender shall also be put on the list of Blacklisted Ntrepreneurs where he/she cannot join and register as an Ntrepreneur for a period of two (2) years from the date of revocation.
An Ntrepreneur found guilty of various offenses, whether simultaneous, or in succession, shall be subjected to higher penalties, to wit:
i. Three (3) Minor Violations | = | One (1) Major Offense |
ii. Five (5) Minor Violations | = | Termination |
iii. Three (3) Minor Violations, One (1) Major Violation | = | Termination |
iv. Two (2) Major Violations | = | Termination |
Ntrepreneurs declared guilty of violation for at least a Major Offense listed in this Code shall not be eligible for any award or recognition given by NWORLD to its Ntrepreneurs, such as, the Guild of Significance or any other award or recognition that NWORLD may grant to its Ntrepreneurs.
Aside from the penalty for Major Violation to which Malicious and Vexatious Filing of a Complaint belongs, the Ntrepreneur guilty of this violation shall issue a public apology to the Ntrepreneur or NWORLD subject of his/her malicious and vexatious complaint.
Miscellaneous Provisions
All intellectual property rights shall remain the exclusive property of NWORLD, which includes but not limited to copyright, trademark, service mark, trade name, corporate mark, logos, insignias, signage, and designs. Any act of alteration, modification or unauthorized use of the company's intellectual property is strictly prohibited.
Any amendment or revision of this Code may be proposed at any time by any of the member of the Ethics Committee. Amendment shall take effect three (3) days from date of publication.
This Code of Conduct and Ethical Standards shall take effect three (3) days from date of publication in NWORLD's official website: www.thealphanetworld.com, Facebook fan page: NWORLD-Alphanetworld Corporation, other social media platforms, and or through issuance of a memorandum and circulars addressed to all Ntrepreneurs.
The Code of Conduct and Ethical Standards dated May 29, 2019 and all other rules and regulations inconsistent with this Code are hereby repealed or modified accordingly.
